| 摘 要： | 公司股东出资瑕疵将会影响公司的设立存续,进而侵害公司债权人的权益,要减少和避免出资瑕疵现象的发生,固然要加强和完善股东出资瑕疵的法律责任,但更为重要且有效的方法是健全和完善公司设立过程中相关参与人对股东出资的监督责任制度.

| Abstract: | The defect of shareholders'capital contribution has had great influence on the establishment and development of a company,and then encroached the interests of creditors.For reducing and avoiding the defect of capital contribution,the legal liability should he strengthened and improved.And a more important and effective way is to improve the supervising liability system which stresses the supervising liability of the relative participants in the company establishing process. |
