法人民事能力新探

为建立适应社会市场经济客观需要的较完善的民事主体制度，需要对法人的民事能力进行更深入的研究，过去我们在对法人民事能力的认识上，存在着体系混乱、认识简单和表面化等问题。事实上，法人的民事权利能力不存在范围限制总理２，也不是指法人可以享受权利的范围，法人的民事行为能力同自然人一样，也存在完全民事特为能力、限制民事行为能力和无民事行为能力的划分，应当建立有中国特色的法人民事能力宣告制度。

A Fresh Examination on the Juridical Person's Civil Capability

To establish a better civil subject system suited to the needs of socialist market economy, it is necessary to further examine the problem of the juridical person's civil capability. Views in the past about the juridical person's civil capability are superficial, simplified and confusing. In fact, as to the juridical poison's capability for private rights, there is no scope limit. Nor does it refer to the scope of rights enjoyed by the juridical person. For him, just like the natural person, a distinction should he made about complete civil capability to act, limited civil capability to act and no civil capability to act. It is advocated in this paper that a declaration system of the juridical person's civil capability with Chinese characteristiscs should be set up.
