| 摘 要： | 电子合同作为现代信息技术发展下一种新的商业活动形式，与传统合同相比有着不同的特殊点。它利用现代信息技术改变了传统的贸易观念和方式，同时也引发了诸多新的法律问题，使传统的法律制度尤其是合同制度面临严峻的挑战。本文从电子合同的含义和特征出发，对电子合同成立时间、地点的确定及其法律效力的确认问题作了初步探讨。

| Abstract: | Electronic contract is a new business model developed by modern information technology. There are different special points between traditional contract and electronic contract. It has changed the concepts and methods of traditional trade and caused many new legal questions. Traditional legal system, especially contract system, face austere challenges. Starting from the definition and features of electronic contract, the article studies the place and time of establishment,legal effect of electronic contract. |
