| 摘 要： | 独立董事制度是加强公司治理的一项重要举措,为发挥独立董事制度在我国上市公司治理中的作用,解决这一制度中出现的种种问题,需要进一步完善有关独立董事的激励与约束机制,实现独立董事责、权、利的平衡;激励和约束机制主要可分为经济补偿机制、声誉促进机制和法律约束机制。

| Abstract: | Independent director system is an important measure to strengthen the governance of the listed companies.In order to solve problems of the system and perfect it,the need to further improve incentive and restraint mechanisms for the independent director,achieving the balance among responsibilities,rights,and interests.Incentive and restraint mechanisms can be divided into financial compensation mechanisms,mechanism to promote the reputation, legal constraint mechanism. |
