摘    要:本文从信息不对称、国有企业股权结构的不合理性、经营者人力资本的特殊性论述了对经营者激励约束的必要性,激励约束必须通过规范的机制来实现.经营者的潜能发挥受制多方面的因素,激励约束机制是一个多元化系统,且能够相互制衡.国有企业要发挥激励约束机制的有效性,必须建立和完善人力资本市场,规范证券市场.

Abstract:From the information dissymmetry, the unreasonableness of state - owned enterprise ownership of share construction, the executive manpower capital and speciality, the text discusses the necessity of the management, and expounds that Inspiritment and restriction must pass the normal mechanism to realize. The various factors have an effect on the operating potential development. Inspiritment and restriction mechanism is a diversified system, and it can mutually check and balance. The state - owned enterprises want to exert the usefulness of the inspiritment and restriction mechanism, and must establish with the perfect manpower capital market and share criterion.
