论市场经济下国有企业及国有企业法的重构

计划经济下我国国有企业是指企业资产完全为国家所有的企业，表现为单一的全民所有制企业形式；市场经济下的国有企业以公司为基本组织形式，国有企业的概念应重新界定为“资本全部或者部分属于国家所有，并为国家直接或间接控制的企业”。与之相适应，市场经济下的国有企业法不再是企业组织法，而应是国家投资政策法和国有资产管理法。

Reconstruction of Law of State-owned Enterprise Under Market Economy

The state-owned enterprise, under the planned economy, refers to the enterprise whose total assets owned by our government as a single mode of state-owned enterprise. While under market economy, the basic form of state enterprise is company. So the concept of state enterprise should be redefined as the enterprise whose capital is entirely or partly owned by the state meanwhile be directly or indirectly controlled by the state. Correspondently, the law of state enterprise under the market economy is no longer enterprise organization law but state-invested policy law and state-owned assets administration law.
