| 摘 要： | 尽管在公司制度的实践中出现了＂利益相关者理论＂、＂法人格否认之法理＂以及＂一人公司＂的理论与实践,但营利性、法人性以及社团性仍然是公司法律制度的最本质特征。坚持这一基本认识对健全公司法律制度,规范公司行为尤为重要。

| Abstract: | In spite of the practice of the corporation institution appears the benefit related theory,the legal person personality negation theory and one shareholder company ,seeking profits,legal personality and mass organizations is the nature of the corporation institution remain.Persisting in the essential knowledge has an important role of perfecting the corporation institution and standard corporation action. |
