| 摘 要： | 2005年10月27日，新公司法正式颁布，该法首次明确确立了一人公司制度，它是我国公司法制度上的一次重要创新，也顺应了社会经济的发展和国际大趋势。从一人公司的概念、确立价值和一人公司的法律规制缺陷进行了简要分析，并提出了完善建议。

| Abstract: | On October 27,2005,the new Company Law was officially promulgated.This law has explicitly established one-person company system for the first time.It is an important innovation in our country's company law,and also complies with the social economy development and the international general trend.This article carries on the summary analysis from one-person company's concept,the establishment value and legal rules and regulations flaw,and then proposes bettered suggestion. |
