| 摘 要： | 在20世纪初期,晚清政府和北洋政府先后制订并颁布了《公司律》和《会司条例》，后者对前者既有继承又有较大的发展。《公司条例》实现了西方法律和近代中国社会国情的有机结合．在法人制度、公司分类厦股份有限公司组织机构等方面都较《公司律》更为完善．是我国近代立法成功的典范。

| Abstract: | During the early period of the 20th century, the government of late Qing Dynasty produced the Company Rules and the Beiyang Government produced the Company Ordinance, the latter made many progress on the basis of succeeding the former. The Company Ordinance realized the organic combination of western laws and China social situation of modern times, more perfect in corporation system, company types and joint stock limited company than the Company Rules, so the Company Ordinance has been regarded as the law-making nonesuch in China of modern times. |
