日美股份公司持股结构对我国国企改革的启示

本文通过对日美两个主要发达资本主义国家股份公司的持股结构、公司治理目标和董事会构成之间关系的深入分析和比较 ,认为有效的公司治理结构首先应与公司的持股结构相一致 ,然而无论是在日本还是在美国 ,公司治理结构的核心能力都是董事会中执行董事、非执行董事、外部董事之间的权力分配和权力制衡。由此根据我国股份公司中持股结构的现状 ,提出建立“董事库”以解决国企改革陷入两难困境的设想。
