论商法之诚实信用原则

本通过对商法作为一个法律部门赖以存在的经济基础和调整对象的分析，认为诚实信用作为商法之基本原则，是商事主体实现其利益最大化之意志的法律体现，是商品经济和市场经济健康发展的必然要求；同时，与民法相比，诚实信用作为商法之基本原则，相对地具有去道德化、客观诚信、公法色彩和直接行为准则功能之特点；基于商法诚实信用原则自身特点，笔对我国商事信用法律制度的建设提出了几点思考与建议。

On the Honesty and Credit Principle of the Commercial Law

Based on analysis of the economic bedrock and regulatory object on which the Commercial Law relies, this essay claims that honesty and credit is the legal embodiment of the commercial entity's will to achieve maximum interest and the inevitable claim for a sound development of both commercial economy and market economy. Meanwhile, honesty and credit, as one of the essential principles of the Commercial Law, is relatively different with that of the Civil Law on characteristics such as removal of element of morality, external honesty and credit, color of public law and rule of immediate behavior. This paper is supposed to propose some reflections and suggestions on building our country's legal system of commercial credit established in the characteristics of the principle of honesty and credit.
