| 摘 要： | MBO(管理层收购)是一种较新型的企业并购方式，当前我国国有企业在实施管理层收购过程中产生诸如收购价格不合理、融资渠道少、信息不对称、整合和法律问题等。解决这些问题首先要确立合理的收购价格评定机制，防止国有资产流失；其次要促进金融市场的发展，为MBO拓宽资金渠道；还要完善MBO相关的法律、法规，加强对MBO的过程监督。

| Abstract: | Management Buy-out(MBO) is a new way to transform the state owned enterprise and withdraw state owned property from the competition in certain businesses. However, there are many problems in proceeding MBO, such as the unreasonable procure price, the lacks of margin outlet, information dissymmetry etc. This article will analyze these problems, joining together with suggested solutions and counter-plans. |
