| 摘 要： | 在分权制衡公司治理结构中,作为制衡力量出现的提案制度能否发挥改善股东大会职能、实现股东实质平等之作用,制度本身的构建至关重要。应在提案体系构建基础上以规范、保障价值取向分别构建提案规制制度、提案审核制度、提案法定除斥制度、提案救济制度。

| Abstract: | The construction of system itself is of critical importance in whether the motion-making system as a restriction can play a role in the improvement of the general shareholder convention function and the realization of shareholders' substantial equality,in the framework of decentralized restricting company administration.We must construct a motion-regulating system,motion-examining system,motion-excluding system and motion-remedying system respectively,based on the motion-making system construction and with normalizing and ensuring orientation. |
