论第三人合同权利的确认

我国《合同法》没有规定为第三人利益订立的合同，有关第三人合同权利的规定散见于单行法，为司法实践带来很大困难。笔者借鉴国外立法、判例和学说的最新成果，围绕三个核心问题展开论述，认为确认第三人合同权利要考察：当事人是否有使第三人受益的意图；此种意图是否以适当的方式表示出来；第三人合同权利取得的时间。最后，从兼顾传统与创新的角度为今后处理相关问题提出了若干司法建议。

CONFIRMATION OF THIRD PERSON CONTRACT RIGHTS

There is no reguation for contract made for the benefit of the third person in the Contract Law of our country and regulations about third person contract right scatter in separate laws, which bring great difficulties for judicial pratice. Drawing on foreign legislation, legal precedents and the latest theories, the author elaborates revolving around three core problems and thinks that the confirmation of third person contract rights should consider the following aspects ： first, whether the litigant has the intention of benefiting third person ; second, whether the intention is expressed in an appropriate manner; third, the date for third person to obtain contract rights. At the end, the author puts forward a number of judicial suggestions for the settlement of related problems in future from both traditional and creative perspectives.
