| 摘 要： | 基于"证券"定义在证券法中的功能 、目标和地位,"小证券"概念不能适应资本市场的转轨.应采用"大证券"的定义,引入"投资合同"的概念,扩展"证券"的调整范围.金融监管可从机构监管向功能监管 、行为监管转变;改进信息披露制度;设立分层监管机制;扩大投资者保护的范围等方面着手,完善证券法治.
