摘    要:内部人控制问题的实质是企业内部经营者权力过大,通过各种手段危害国家和中小股东。毫无疑问,制度是约束人们的行为规范,制度决定了人们取得利益的方式。因而,如何进行制度创新以弱化经营者过大的决策权,就成为解决内部人控制问题的突破口。本文试图从组织创新和制度创新的角度,提出弱化经营者自主决策权的思路。

Abstract:The nature of insider control problem is that managers have gained much more power , using various methods to damage interests of country and small shareholders. Needless to say , institutions is used to restrain people's conduct and it also decide the way in which people obtain interest . Therefore , how to innovate the institutions in order to weaken manager' s excessive power of making decision becomes the key to solve problem of insider control.
