纵观我国各部门法及相关司法解释和行政规章等方面关于上市公司担保行为的法律规制,其本意都是为了维护广大中小股东和担保权人的权益,保证交易安全。但是,由于立法技术不够成熟、司法实践经验不够丰富,加之缺乏相关措施配合,实践中的效果不尽如人意。为此,提出完善对上市公司担保行为规制的四点建议:一是对上市公司担保设定合理的限制条件;二是把握好股东权益保护和债权安全保护的平衡点;三是完善董事的善管义务;四是采取必要的反担保措施。  相似文献

A bstract .  In this essay, Cris Mayo describes a tension between recognizing gay, lesbian, bisexual, and transgender (lgbt) people by law and giving (or denying) them certain legal rights on the basis of identity, on the one hand, and enabling queer people, not always fully recognizable as inhabiting particular identity categories, to live their potentials, on the other. Laws and rights regulate particular kinds of people, and while lgbt people have pursued civil rights energetically for the last sixty years or so, their queerness continues to complicate their attempts to gain legitimacy. Beyond civil rights claims, queer liberationist claims push the limits of the understanding of identity, sexual practices, and political life, because they prompt us to consider not just abstract possibilities and freedoms but the freedoms and possibilities of people barely recognizable. Mayo shows how these queer claims are often hard to frame in terms of liberal theory and actual law.  相似文献

Survival for public school teachers goes beyond curriculum design, discipline and other skills. School law is critical for teachers to face the areas of challenge that are currently present. There are two types of common legal mistakes made by teachers: a) failing to take disciplinary action when they should, and b) unintentionally violating students rights. Social media, religion, the rights of transgender students and the possibility of teachers right to carry a weapon are all within the realm of rapidly changing public school law. The current debate about academic freedom has been marked by a lack of clarity and consistency as to what academic freedom actually means. Sometimes it is described solely in terms of individual freedoms; at others in terms of an interplay between individual, collegial and institutional freedoms. Sometimes it is presented as a set of rights; at others, as a pairing of rights and responsibilities. This paper presents an empirical investigation of the range of understandings of academic freedom experienced amongst social scientists in Australian universities. The investigation was undertaken from a phenomenographic perspective and five different ways of understanding academic freedom were constituted, based on two primary dimensions of variation in views: the types of constraints regarded as an appropriate part of academic freedom; and the role of self and other (i.e., peers, institution, society) in creating academic freedom. The structural relationships found between different ways of viewing academic freedom in this study provides a broader framework within which to interpret the range of views found in the literature and public debate.  相似文献

This paper contributes to the study of citizenship by interrogating how young people in Nairobi (Chege and Arnot 2012) perceive their rights of citizenship. It builds on previous analyses of the connections between gender, education and poverty's poor urban settlements by focusing on the political dimensions of the young people's lives. The findings are based on in-depth interviews with 24 young men and women (mainly siblings aged 16–25) from 18 urban households which explored how they define their national identity and citizenship rights and their expectations of the Kenyan government. All youth felt a connection with the Kenyan nation and actively engaged with rights discourses, but secondary schooled youth demonstrated a noticeably more reflexive and challenging approach to the norms and responsibilities of citizenship. Young men focused on the public sphere, emphasising voting rights, political corruption and their role in leading community change, whilst secondary educated young women recognised the importance of ‘freedoms’ associated with national membership, their rights to choose within cultural traditions and the need to support their families. Gender is shown to play an important role in framing their understanding of themselves as citizens.  相似文献

准确把握危害公共安全罪的犯罪客体是理解和认定危害公共安全罪的重要前提,但目前理论界对公共安全的性质及内容尚缺乏足够的和必要的关注。传统公共安全的定义并不能完全涵盖公共安全的内涵,在理论上造成了一定程度的混乱。为解决长期困扰理论界和实务界的有关问题,应当将公共安全界定为:不特定或者多数人的生命、健康安全,重大公私财产安全,以及社会公众的正常工作、生产、生活的安全。  相似文献

Citizenship education, defined as learning to live together, requires agreement on certain common principles. One central purpose of a state education system is the transmission of common normative standards such as the human rights and fundamental freedoms that underpin liberal democratic societies. The paper identifies the conceptual roots of the Universal Declaration of Human Rights (UDHR) in the sociological concept of utopia and Enlightenment cosmopolitanism. In the UDHR, the vision of freedoms that may promote human flourishing provides a precise way of conceptualising limits on state power. Whilst human rights is not a general theory, the concept has the hugely beneficial property of enabling people whose value systems are diverse and apparently incompatible, nonetheless to recognise and accept common standards and principles that make living in society possible. The implications of this are that human rights education is rightfully recognised as an essential component of citizenship education.  相似文献

近年来农民工问题受到广泛关注,但农民工的社会保障因各种原因还存在很多问题,社会保障状况令人堪忧,集中体现在工作环境恶劣、安全保障缺乏,对于享受社会福利与社会救助比较困难,未被纳入医疗保险体系和社会保障立法不健全。造成农民工社会保障困局的原因主要在于户籍制度带来的限制性政策以及农民工社会保障的各主体的意识不强。在这样的情况下,探索建立一种适应中国国情的农民工社会保障的体制,真正维护农民工的社会保障权益就非常重要。国家需要全力发展经济,制定健全的农民工社会保障的法律法规,加强对农民工就业单位的监管,监督他们严格执行劳动和社会保障法规,深入宣传农民工社会保障的制度和政策,把更多的农民工纳入到这一体系中来,彻底免除农民工的后顾之忧,促进社会和谐。  相似文献

风险社会存在大量有关情感安全的社会问题.情感安全是公共安全的底线.每个社会公民都有可能在公共安全事件中邂逅受损者、非受损者、肇事者这样三种基本社会角色,相应地,对所有社会成员都要进行安全性情感、援助性情感和文明性情感三方面的教育和培养.及时的心理干预对社会情感安全管理能起到恢复功能的作用,但是心理干预不能等同也不能代替社会安全的情感管理.  相似文献
